Memorandum of Association

Of the

Somersham Gas Company Limited

1st The name of the company is The Somersham Gas Company Limited

2nd The Registered Office of the Company will be situate in England

3rd The objects for which the company is established are for the Erection of Gas Works by William Cartwright Holmes in accordance with his plans and specifications for the supply of the Town of Somersham in the County of Hunts. and also its neighbourhood with Gas; also the distilling and manufacturing and procuring inflammable air or gas from Coal, Peat, Oil or other gas yielding materials of what nature or kind soever. Also for the sale of Coal, Coke, Lime, Peat, Oil or any other material or substances used in or arising, or to be made and obtained from, or in the manufacture of air or inflammable gases aforesaid; or by the combination of any of the above mentioned matters either with each other or with other substances. To purchase Lease or otherwise acquire Lands, or any other property of any tenure for the purposes of the Company, and the doing all such matter and things, incidental or conducive to the attainment of the above Objects.

4th The liability of the Members is Limited

5th The Capital of the Company is One Thousand Five Hundred pounds divided into Three Hundred shares of Five pounds each.

We, the several persons whose names and addresses are subscribed are desirous of being formed into a Company in pursuance of this Memorandum of Association and we respectively agree to take the number of shares in the Capital of the Company set opposite our respective names:
